These Terms & Conditions (“Terms”) govern the purchase of products from Black Helmut LLC (“Black Helmut,” “we,” “us,” or “our”) through our website or by direct invoice. By placing an order, you agree to these Terms.
1. Products & Fabrication
Black Helmut designs and fabricates furniture, architectural elements, and related objects. Many products are made-to-order or produced in limited runs.
Due to the nature of hand fabrication and material processes:
Variations in color, grain, patina, welds, finish, and texture are inherent characteristics of the materials and fabrication process.
Minor dimensional tolerances may occur.
Such variations do not constitute defects.
Black Helmut reserves the right to make minor modifications to products that do not materially affect function or overall aesthetic intent.
2. Pricing & Payment
All prices are listed in U.S. dollars unless otherwise specified. Payment terms will be stated at checkout or in the applicable invoice.
Production may not begin until payment or required deposit has been received.
3. Custom & Made-to-Order Items
Custom, commissioned, or made-to-order items are final sale.
Once fabrication has commenced, orders may not be canceled. Deposits for custom work are non-refundable unless otherwise agreed in writing.
4. Shipping & Delivery
Products are shipped via third-party carriers selected by Black Helmut unless otherwise agreed.
Delivery dates are estimates only and are not guaranteed.
Risk of Loss
Title to and risk of loss pass to the customer once the product is delivered to the carrier. Black Helmut is not responsible for delays, damage, or loss occurring during transit.
5. Inspection & Shipping Damage
Customers must inspect all shipments immediately upon delivery.
Visible damage must be noted on the carrier’s delivery receipt.
Concealed damage must be reported in writing within forty-eight (48) hours of delivery.
Failure to comply with these requirements may result in denial of a claim.
Black Helmut may assist with carrier claims at its discretion but is not obligated to repair, replace, or refund items damaged during transit.
6. Installation & Use
Products must be installed and used only as intended.
For wall-mounted, architectural, or heavy items, professional installation is strongly recommended.
Black Helmut is not responsible for:
Improper installation
Structural inadequacy of walls, floors, or mounting surfaces
Modifications made after delivery
Misuse, neglect, or lack of maintenance
7. Returns
Stock items may be eligible for return only if approved in writing by Black Helmut.
Approved returns must:
Be unused and in original condition
Be returned in original or equivalent packaging
Be shipped at the customer’s expense
Custom and made-to-order items are not eligible for return.
8. Disclaimer of Warranties
Except as expressly stated in writing, all products are provided “as is” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.
9. Limitation of Liability
To the fullest extent permitted by law, Black Helmut shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the purchase, shipment, installation, or use of any product.
Black Helmut’s total liability for any claim shall not exceed the amount paid for the specific product giving rise to the claim.
10. Indemnification
You agree to indemnify and hold harmless Black Helmut from any claims, damages, losses, liabilities, or expenses (including reasonable attorneys’ fees) arising from your use, installation, resale, or modification of any product.
11. Force Majeure
Black Helmut shall not be liable for delays or failure to perform resulting from causes beyond its reasonable control, including but not limited to material shortages, labor disruptions, transportation delays, natural disasters, or governmental actions.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to conflict-of-law principles.
13. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
14. Changes to These Terms
Black Helmut reserves the right to update these Terms at any time. The version posted on the website at the time of purchase governs that transaction.
